These Terms of Service ("Terms") govern your use of the website ctrlstrategies.com and the services provided by Ctrl Strategies ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Agreement to Terms

By accessing our website or using our services, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, you must discontinue use of our website and services immediately. These Terms constitute a legally binding agreement between you and Ctrl Strategies.

2. Description of Services

Ctrl Strategies is a digital marketing agency providing services to local service businesses, including but not limited to:

  • Paid Advertising Management: Meta (Facebook/Instagram) Ads, Google Ads campaign creation, management, and optimization
  • Content Creation: Social media content, ad creative, and copywriting
  • AI Receptionist: AI-powered customer communication and booking systems
  • Video Production: Professional video content for marketing campaigns
  • Marketing Strategy: Growth audits, marketing plans, and consulting
  • Reporting and Analytics: Performance tracking, campaign reporting, and data analysis

The specific services provided to each client are defined in the service agreement established at the start of the engagement.

3. Client Responsibilities

By engaging our services, you agree to:

  • Provide accurate and complete business information necessary for delivering our services
  • Grant appropriate access to advertising accounts (Google Ads, Meta Business Manager, etc.) as needed
  • Respond to communications in a timely manner to avoid delays in campaign performance
  • Ensure that all products, services, and business practices promoted through our campaigns comply with applicable laws and platform policies
  • Notify us promptly of any changes to your business that may affect campaign performance (pricing changes, closures, staffing changes, etc.)
  • Maintain active payment methods on advertising platform accounts

4. Payment Terms

  • All engagements are month-to-month with no long-term contracts required
  • Service fees are due at the start of each monthly billing period
  • Ad spend budgets are separate from service fees and are paid directly to the advertising platforms (Google, Meta, etc.)
  • Late payments may result in pausing of active campaigns until payment is received
  • We reserve the right to adjust pricing with 30 days written notice
  • Refunds are handled on a case-by-case basis at our discretion

5. Google Ads API Usage

Ctrl Strategies uses the Google Ads API to manage advertising campaigns on behalf of clients. By engaging our services, clients authorize us to access, modify, and optimize their Google Ads accounts. All API usage complies with Google's API Terms of Service.

This authorization includes:

  • Creating, modifying, pausing, and deleting campaigns, ad groups, ads, and keywords
  • Adjusting bidding strategies and budgets
  • Accessing performance reports and billing data
  • Setting up and managing conversion tracking
  • Managing audience targeting and remarketing lists

Clients may revoke this authorization at any time by removing our access from their Google Ads account or by terminating services in accordance with Section 9.

6. Intellectual Property

  • Client Materials: You retain ownership of all content, branding, logos, and materials you provide to us
  • Our Work Product: Ad creative, copy, strategy documents, and other deliverables created by Ctrl Strategies during the engagement become the property of the client upon full payment for the applicable billing period
  • Our Tools and Methods: Proprietary tools, processes, frameworks, and methodologies used by Ctrl Strategies remain our intellectual property
  • Portfolio Rights: We reserve the right to showcase work completed for clients in our portfolio and marketing materials, unless you request otherwise in writing

7. Limitation of Liability

To the maximum extent permitted by law:

  • Ctrl Strategies shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our services
  • Our total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim
  • We are not liable for losses resulting from changes to advertising platform policies, algorithms, or features beyond our control
  • We are not liable for any interruption in service caused by third-party platforms (Google, Meta, etc.)

8. Disclaimer

Marketing results vary based on many factors including industry, competition, market conditions, budget, and the quality of products or services being promoted. We do not guarantee specific outcomes including but not limited to a certain number of leads, sales, revenue, or return on ad spend, beyond any specific guarantees explicitly stated in writing in your service agreement.

Past performance and case studies shown on our website or in our marketing materials are not guarantees of future results. All services are provided "as is" without warranties of any kind, either express or implied.

9. Termination

  • Either party may terminate the service agreement with 30 days written notice
  • All engagements are month-to-month and carry no cancellation penalties
  • Upon termination, we will provide final reports and transition access to all client-owned accounts and assets
  • Fees for the current billing period are non-refundable upon termination
  • We reserve the right to terminate services immediately if the client engages in illegal activity, violates advertising platform policies, or fails to make payment for more than 30 days

10. Data Usage and Privacy

Our collection, use, and protection of personal information is governed by our Privacy Policy. By using our services, you acknowledge and agree to the data practices described therein.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved in the courts of British Columbia, Canada.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of our website or services after changes to these Terms constitutes acceptance of those changes. We will make reasonable efforts to notify active clients of material changes.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
